- MSC, which sells metalworking tools and supplies, reported record quarterly sales on Oct. 22. Its stock had just closed at its highest in KeyVex's price data, which goes back to 1995.
- But MSC forecast a lower profit margin for the next quarter than the one just reported. The stock fell 15.35% that day, its worst day since 2002.
- The next day its chairman bought about $29 million of stock. That is about twice his biggest previous day of buying, and more than his nine purchases in 2025 put together.
- He paid $114.43 to $117.43 a share; his purchases since 2021 were at about $69 to $85. His filing marks no prearranged trading plan and gives no reason.
- Next: on Jan. 6, 2027, MSC reports the quarter that forecast covers.
The purchase: Mitchell Jacobson, the chairman and largest shareholder of MSC Industrial, bought 250,000 of its shares on Oct. 23 at $114.43 to $117.43 each, about $29.0 million in all, his filing shows.Form 4Proxy The day before, MSC's stock had fallen 15.35%, its worst day since August 2002.Chart data
The record: A Form 4 is the report a company's directors, officers and largest holders must file within two business days of most trades in its stock. In Jacobson's Form 4s back to 2006, the start of KeyVex's insider data, this is his biggest day of buying, about twice the next. That was July 13, 2022: 200,000 shares at $72.25, about $14.5 million.Form 4 It is also more than his nine purchases in 2025 combined, about $28.5 million.Form 4Form 4Form 4

A record, then a 15% fall
MSC, based in Melville, N.Y., and Davidson, N.C., distributes metalworking tools and maintenance supplies. Its stock closed at $132.82 on Oct. 21, its highest in KeyVex's price data, which begins in December 1995. That was up 57.9% since the end of 2025.Chart data
Before the market opened on Oct. 22, MSC reported its fiscal fourth quarter, which ended Aug. 29. Sales rose 10.3% to a record $1.08 billion. Its adjusted operating margin, profit from operations as a share of sales before some charges, was 10.9%.8-K Reported earnings fell to $0.85 a share from $1.01, after a $41.8 million charge for Digital Core, a technology project McIsaac said on the call MSC had stopped work on.8-K10-KTranscript Without the charge and other items, it earned $1.45 a share, up from $1.09.8-K
Martina McIsaac, the chief executive, called the quarter "a strong finish." But for the first quarter of fiscal 2027, MSC forecast an adjusted operating margin of 9.5% to 10.1%, below the 10.9% it had just reported but above its 8.4% for fiscal 2025 as a whole. McIsaac said MSC remained "mindful of inflationary headwinds and tougher comparisons looking ahead."8-K The stock fell 15.35% that day, to $112.43.Chart data
On the call, McIsaac said MSC was using price "as an offensive weapon" to fuel volume growth, which was "putting some pressure on gross margin" amid "continued absolutely unprecedented inflation." Ryan Merkel, a William Blair analyst, said he had expected first-quarter volume growth "more like mid-single digits or better," according to a transcript posted by The Motley Fool.Transcript
Gian Estrada of the research site TIKR made the case about the stock, not the quarter. Before the report, MSC traded at 25 times its expected earnings, against a five-year average of 18, he wrote that day. "The trouble is the price."TIKR
What he paid, against what he paid before

How we got these numbers
- KeyVex read every Form 4 transaction Mitchell Jacobson reported for MSC from 2006, when the SEC's bulk Form 4 data begins, to Oct. 27, 2026, and opened the filings for each purchase since 2022. Code P, a purchase on the open market or in a private deal, appears 16 times: in 2008, 2021, 2022, 2025 and Oct. 23, 2026. Earlier filings were not read.
- Dollar figures are shares times the price each filing reports. His Oct. 23 purchase was 60,951 shares at $115.1094, 134,662 at $115.995 and 54,387 at $116.7194, weighted averages of trades from $114.43 to $117.43: $28,984,169.74, or $115.94 a share. His 2025 purchases were 159,193 shares in April ($11,101,252.94) and 204,676 from Oct. 30 to Nov. 18 ($17,351,469.21), $28,452,722.15 in all, at the four-decimal prices the filings report. July 13, 2022: 200,000 shares at $72.25, $14,450,000.
- Prices are end-of-day closes as traded. "Worst day" compares each close with the one before, over every trading day since Dec. 15, 1995, the start of KeyVex's MSC price data, with the 2-for-1 split of May 26, 1998, accounted for: Oct. 22, 2026 (down 15.35%) is the largest one-day fall since Aug. 6, 2002 (down 32.2%). The only larger one before that was June 18, 1999. The Filings switch on the chart shows the filing markers from KeyVex's MSC page, a selection of congressional trades, insider trades, Form 144 notices, 8-Ks and lobbying filings: not every filing, and not only those tied to this story.
