- Since Tan became Intel's chief executive in March 2025, his trust had bought its stock twice, both in sales by Intel: $23.96 under his offer letter, and $95 in its August offering.
- On Nov. 2, the next trading day after Intel's worst day since 1974, as Yahoo Finance put it, the trust bought again: in multiple trades during the session, at about $64.73.
- It put in about $9.7 million, a little less than August's $10 million, and got 42.5% more shares. Intel closed that day 7.4% below the trust's price.
- His filing does not mark the purchase as part of a preset trading plan, and it does not say why the trust bought.

What the filings show, and what they don't
The Nov. 2 Form 4 does not check the box for a Rule 10b5-1 trading plan, the kind of preset plan that buys or sells on a schedule.Form 4 It gives no reason for the purchase. What to watch
Intel's forecast is revenue of $15.0 billion to $16.0 billion, below the third quarter's $16.5 billion.
Half of the performance stock units Intel granted Tan as a new hire are due to vest. How many shares they pay depends on Intel's stock price, and vesting requires that he still hold the $25 million of shares he bought, Intel's 8-K says.

How we got these numbers
- Yahoo Finance reported that Oct. 30 was Intel's worst day since July 5, 1974, when it fell nearly 30%, by its own calculations. Prices are end-of-day closes as traded, not adjusted for dividends, through the Nov. 3, 2026 close, the last in KeyVex when this story was written. Daily moves are close to close. The Oct. 30 fall, 28.6% from $92.07 to $65.76, is compared with every daily close-to-close move in KeyVex's Intel closes since March 17, 1980; the next largest was 26.1%, on Aug. 2, 2024. The Nasdaq 100 and S&P 500 lines follow QQQ and SPY, rebased to Intel's close at the start of the range shown. The Filings switch shows a selection of filing markers from KeyVex's Intel stock page, not every filing and not only those tied to this story.
- Purchase amounts are shares times the price on each Form 4: 150,000 x $64.7312 = $9,709,680 on Nov. 2, 2026; 105,263 x $95.00 = $9,999,985 on Aug. 11, 2026; 1,043,406 x $23.96 = $25,000,008 on March 21, 2025. 42.5% more shares is 150,000 against 105,263.
- "The first not in a sale by Intel" comes from every ownership filing Tan has made on EDGAR since March 18, 2025: his Intel filings in that time are the Form 3 and grant Form 4 of March 20, 2025, the March 25, 2025 purchase from Intel, a grant Form 4 of March 3, 2026, and the Form 4s of Aug. 14 and Nov. 4, 2026. His other filings in that time are for Credo Technology Group, where he is a director. The August purchase matches the prospectus commitment and the $95.00 offering price; the Form 4 itself has no footnote about it. The Nov. 2 Form 4 reports the purchase in multiple trades at prices inside that day's range; Form 4's purchase code covers open-market and private purchases, and the filing does not say which. Intel filed no offering of new shares after its Aug. 12 8-K through Nov. 4.
