Nelson Peltz's group owns about 16% of Wendy's, above the new poison pill's 15% trigger, so it can't buy more without the board. The board also deleted a clause saying a deal with him never counted as a takeover.

WEN$7.65▲ 5.2%Close, Nov. 4. Prices from Tiingo.Follow-upThis story follows our Oct. 28 report, Trian backed payouts, then bid saying Wendy's needs capital. Adds Wendy's Nov. 5 rejection, its rights plan and the Nov. 4 changes to its executive pay plans, filed in an 8-K.
The short versionTap to readTap to close
- A poison pill usually stops a bidder from buying its way to control. Wendy's new one is set at 15%, and Peltz's group already holds about 16%.
- Holders already above 15% are exempt, so the group keeps its stake. Buying more would set off the pill, letting every other holder buy shares at half price, unless the board approves.
- Executives get bigger severance and vesting if pushed out after a takeover. Until Nov. 4, the stock plans said a deal with Peltz, May or a company they control never counted. Now it can.
- Next: the rights attach to each share on Nov. 16 and run until Nov. 3, 2027, unless the board ends them sooner.
The answer: Wendy's said no to Nelson Peltz. On Nov. 5, its independent board committee unanimously rejected the $7.35-a-share cash bid from his firm, Trian, and three partners, saying it "substantially undervalues" the company.Release
The pill: The board also adopted a shareholder rights plan, often called a poison pill, set at 15%. If anyone reaches that without the board's approval, every other holder can buy new shares at half price, swamping the buyer.8-K Trian's Oct. 28 filing says Peltz may be deemed to own 30.9 million shares, or 16.23%.13D/A
Why it matters: A pill is meant to stop a bidder from buying its way to control. Peltz's group is already over the line, so this one works as a cap: the group keeps its stake, but buying more would set the pill off unless the board agrees.8-K The same filing reports that the board deleted a clause that kept a deal with Peltz from counting as a change in control, or takeover, under Wendy's stock plans. It gives no reason for that change.8-KPlan amendment

What the pill does to Peltz's group
The board adopted the plan on Nov. 4 without its directors tied to Trian, and says it did so "in response to" the bid.8-K It also says the group turned down Wendy's offer of a "customary standstill agreement," in which a would-be buyer accepts limits, such as on buying more stock, for a time.8-K Trian's Oct. 28 filing says Trian and its affiliates had signed a confidentiality agreement with Wendy's "which contains customary standstill terms."13D/A
Trian's group is Trian plus Flynn Group, BlueFive Capital and Sixth Street Partners. On Oct. 28 it offered $7.35 a share for the stock it does not own, valuing all its shares, including Trian's, at about $1.4 billion, as KeyVex reported that day.Letter
Anyone who already owned 15% or more when the plan was announced is "grandfathered," the 8-K says. If such a holder's stake ever drops below 15%, the exemption ends.8-K The pill does not lump separate shareholders together just because they act "in concert." It counts them as one only if they form a group under securities law.Release
The pay rules a Peltz deal would meet
Wendy's executives have takeover protection with a "double trigger." If the company changes hands and an executive is pushed out, or quits for good reason, soon after, their unvested stock vests and their severance grows.Proxy Under Wendy's severance policy, a chief executive's is two years of salary plus target bonus.Severance policy
Until Nov. 4, a deal with Peltz or May did not count. The plan's definition of a change in control said:Proxy
the merger, consolidation or sale of assets of the Company or any Affiliate with or to Nelson Peltz or Peter W. May or any Person Controlled By Nelson Peltz or Peter W. May shall in no event constitute a Change in Control.
On Nov. 4, the board deleted that exclusion from both of its stock plans, at a meeting to which all its non-employee directors were invited, the 8-K says.8-KPlan amendment It also widened the protection window from 12 months after a takeover to 18, and spelled out that a resignation for good reason counts the same as being let go without cause.Severance policyProxy A takeover would now convert performance units into restricted stock units, counted at no less than target for goals other than stock return in periods still running.8-K
Trian's Oct. 28 letter assumed any change-of-control payments would be "in line with market practice for a transaction of this nature and size."Letter The letter came before the Nov. 4 pay changes. Trian said on Oct. 28 that it did not plan to update its disclosures until a definitive agreement, unless required.13D/A The 8-K gives no reason for the pay changes. It ties only the pill to the bid.8-K

Trian's letter says Wendy's "requires significant capital investment to de-lever and execute the strategic initiatives needed to turn system performance around," and that private ownership "is the better path."Letter The board's chairman, Art Winkleblack, said the committee found the offer "substantially undervalues Wendy's standalone prospects and long-term earnings potential."Release

How we got these numbers
- Prices are as traded. Wendy's closed at $6.14 on Oct. 27, 2026, and at $7.07, $7.165, $7.21, $7.26, $7.27 and $7.65 on Oct. 28, 29 and 30 and Nov. 2, 3 and 4, so Nov. 4 was its first close above the $7.35 offer since the offer. On Nov. 5 at 2:10 p.m. Eastern, its IEX quote was $7.725; that day's close was not in KeyVex when this was written. The S&P 500 fund is SPY, which closed at $754.35 on Nov. 3 and $766.81 on Nov. 4 (up 1.7%). The S&P 500 and Nasdaq 100 lines in the chart follow SPY and QQQ, as traded, rebased.
- The 16.23% is Trian's own figure for Nelson Peltz in its 13D/A of Oct. 28, 2026: 30,946,510 shares, counting shares held by Trian's funds, Peter May and members of the Peltz family. Trian's letter puts the group at "approximately 16.3%". The "about $1.4 billion" is the $7.35 offer times the 194.0 million fully diluted shares the letter assumes ($1.43 billion), which includes the stake Trian plans to roll over. "Half price" describes the rights' flip-in term: each right lets its holder pay the $37.00 purchase price for shares worth twice that, per the 8-K.
- The change-in-control definition quoted is from the 2020 Omnibus Award Plan as printed in Annex C of Wendy's 2026 proxy statement; the Nov. 4 Second Amendment restates section 2(f) without the Peltz and May exclusion, and the 8-K says the 2010 plan was amended the same way. The 12-month window is the proxy's description of the plan and severance policy before Nov. 4; the 18-month window and the treatment of a good-reason resignation are in the amended severance policy. The CEO's severance after a change-in-control termination is base salary plus target annual cash incentive, paid over 24 months, per the policy.
