The purchase: Galaxy Digital founder and chief executive Mike Novogratz bought 760,000 Galaxy shares on Nov. 5, at $12.34 to $13.87 each, his Form 4 shows. That is the filing insiders make when they trade their company's stock. The filing does not check the box for a Rule 10b5-1 plan, a schedule of trades set up in advance.Form 4

How we got these numbers
- The header image was generated for KeyVex by an image model. It is an illustration of a West Texas data center campus, not a photograph of Helios.
- Prices are end-of-day closes as traded, not adjusted for dividends, through the Nov. 4, 2026 close, the last in KeyVex when this story was written; Galaxy's Nov. 5 close was not yet in KeyVex. Daily moves are close to close: $16.83 on Nov. 3 to $13.97 on Nov. 4 is a fall of 17.0%; $42.86 to $13.97 is 67.4%. "Lowest close since its listing" compares every close in KeyVex since Galaxy's first Nasdaq close on May 16, 2025. The Nasdaq 100 and S&P 500 lines follow QQQ and SPY, rebased to Galaxy's close at the start of the range shown. The Filings switch shows a selection of filing markers from KeyVex's Galaxy stock page, not every filing and not only those tied to this story.
- Dollar amounts are shares times the price on each Form 4: Nov. 5, 2026, 528,757 x $12.694 plus 231,243 x $13.632 = $9,864,346, a weighted average of about $12.98; 2025 sales, 3,372,875 and 4,380,967 shares x $18.0975 plus 3,000,000 x $36.00 = $248,325,156. Galaxy's buyback average is $200 million divided by about 9.8 million shares, about $20.40. 0.4% is 760,000 against the 190,465,103 Class B shares Galaxy Group Investments reported after its May 13, 2026 gift; Each Class B share is paired with a unit of Galaxy Digital Holdings LP that can be exchanged one for one for a listed Class A share, and the Form 4s filed since then report no Class B transactions. His entities' 2025 sales averaged about $23.09 a share.
- "The first purchase in his Galaxy filings" comes from every Form 3 and Form 4 Novogratz has filed on EDGAR since Galaxy's listing (his two Schedule 13G filings on Galaxy report holdings, not trades) (his EDGAR filings go back to 2007, for other companies): for Galaxy, a Form 3 of May 15, 2025, and Form 4s reporting gifts, the 2025 sales, stock awards, shares withheld for taxes and the Nov. 5 purchase. His Oct. 5, 2026 Form 3 is for a different issuer. Galaxy's shares also trade in Toronto (its Oct. 10, 2025 release lists them as Nasdaq/TSX: GLXY); his Galaxy filings with the SEC begin with the May 2025 Nasdaq listing, and any earlier trades are not in them. Form 4's purchase code covers open-market and private purchases; the Nov. 5 filing reports multiple trades at prices from $12.34 to $13.87 and does not say which.
