- Ariel and Southeastern, two smaller Mattel holders, have urged it to explore a sale. The Wall Street Journal reported a takeover approach Oct. 1; Semafor reported Oct. 21 that Southeastern weighed a proxy fight.
- Mattel's largest holder, EdgePoint, owns 17.68%. After Mattel's chief executive left, Mattel invited EdgePoint to name a director, EdgePoint's filing says.
- Under the cooperation agreement it signed on Oct. 21, EdgePoint cannot buy more shares or propose a takeover, at least until after Mattel's 2027 annual meeting.
- Its vote on any sale stays largely its own; the main limit applies if every director, its own partner included, recommends a deal. Its 17.68% is over three times Ariel's 5.4%, per Reuters.
- Next on the record: Mattel's third-quarter results on Nov. 5, the first it reports with Roger Lynch as chief executive.
The seat: Mattel, the maker of Barbie and Hot Wheels, added a 10th seat to its board on Oct. 21 and gave it to Lee Matheson, a partner at EdgePoint Investment Group, under a cooperation agreement.8-K EdgePoint, a Toronto investment manager, owns 50.5 million Mattel shares, or 17.68%, it reported the next morning. It did so on a Schedule 13D, the longer ownership report whose purpose section lists steps such as proposals to the board.13D Until now it had reported its stake on the shorter Schedule 13G.13G/A
The invitation: The seat was Mattel's offer. After Ynon Kreiz left as chairman and chief executive, "representatives of the Issuer extended an invitation to EdgePoint to propose a nominee," EdgePoint's filing says.13D Kreiz left to become co-chief executive of Paramount Skydance, Reuters reported.Reuters Kreiz resigned on Sept. 29 and left on Oct. 2. Roger Lynch, a Mattel director since 2018, became chairman and then chief executive.8-K
Why it matters: EdgePoint is Mattel's "longstanding and largest shareholder," Lynch said.Release Its stake is more than three times the 5.4% Reuters reported Ariel Investments owns. What EdgePoint gave up
The agreement caps EdgePoint at 50,515,811 shares, exactly what it owns. It cannot buy more stock, or swaps or other contracts tied to the shares, beyond that line. A rise in its percentage from Mattel's own buybacks does not count.Agreement
It also cannot make, join or knowingly help a proposal for any deal involving Mattel, from a tender offer to a merger, a separation or a liquidation. Nor can it comment in public on such a deal before Mattel, or a buyer that has signed a deal with it, announces one.Agreement It may still talk privately with the board and executives, as long as nothing would have to be disclosed, and may tender its shares on the same terms as other holders.Agreement
It cannot call a special meeting, nominate other directors or campaign against the board's nominees.Agreement
The limits last at least until five business days after Mattel's 2027 annual meeting, and longer if Matheson stays on the board.Agreement If EdgePoint's stake falls below 10%, Mattel's board obligations end and Matheson must resign.Agreement
What it kept
Mattel will cover up to $500,000 of EdgePoint's expenses.13D EdgePoint must vote for the board's director nominees and against any the board does not recommend, and with the board on other matters only when every director agrees. It may follow the proxy advisers ISS or Glass Lewis when they disagree with the board.Agreement On a sale, the agreement spells out its freedom:
EdgePoint and its Affiliates shall be permitted to vote in their sole discretion on any proposal with respect to any Extraordinary Transaction
The same clause adds a limit. If all directors, Matheson included and not recused, recommend a deal, EdgePoint must vote for it with the shares it alone votes, and use its reasonable best efforts with the shares whose vote it shares. The proxy-adviser clause covers any company proposal, a deal included, and the agreement does not say which clause wins if both apply.Agreement It alone votes about 36.4 million of its 50.5 million shares.13D The agreement defines such deals broadly, from a merger or tender offer to a recapitalization, a separation or a liquidation.Agreement
One clause runs longer than the rest. Mattel's bylaws let holders who have owned at least 15% of its stock for a year call a special meeting.Bylaws Until the day after its 2028 annual meeting, Mattel cannot raise that bar without EdgePoint's written consent.Agreement
What the stake cost
EdgePoint paid about $829.7 million for its shares, all bought on the open market, its 13D says.13D That is about $16.42 a share on average, by KeyVex's math. At Mattel's Sept. 30 close of $12.66, the stake was worth about $640 million. At the Oct. 21 close of $16.95, it was worth about $856 million.Chart data

The push for a sale
Southeastern Asset Management, which manages over 4% of Mattel's stock for clients, published an open letter in May. It reprinted a note it had sent Kreiz in March: "now is the time for the Company to explore strategic alternatives." The note named private equity, another toy company such as Hasbro, and large media companies as possible buyers. "We see a value per share today approaching $30," the note said.PX14A6G
On Oct. 1, the Wall Street Journal reported that Authentic Brands Group, whose brands include Guess and Van Heusen, had approached Mattel. A source told Reuters the interest could value Mattel at around $6 billion or more, above $20 a share, and that no formal sale process was under way. There was no guarantee Mattel would be open to the offer, the source said. Mattel declined to comment.Reuters The Journal reported that Lynch's transition could complicate any deal, Reuters said.Reuters
On Oct. 5, Ariel Investments, which owns 5.4%, asked Mattel to hire an independent financial adviser and consider options including a sale. A strategic buyer "would pay a significant premium to your current share price," co-chief executive John Rogers wrote, according to Reuters.ReutersRetail Dive Mattel said its board would weigh Ariel's views along with those of other shareholders.ReutersRetail Dive
On Oct. 21, Semafor reported, citing people familiar with the matter, that Southeastern was considering whether to nominate new directors at Mattel as part of a proxy fight. No decision had been made and its plans could change, the people cautioned. Mattel said it engages with all shareholders, Semafor reported.Semafor
Mattel's own statement on Matheson spoke of strategy, not a sale. His perspective "adds a new dimension to our board as we advance our brand-centric strategy," Lynch said.Release Matheson said he looked forward to "unlocking Mattel's intrinsic value for the benefit of all shareholders."Release
A new team in three weeks
Lynch started on Oct. 12. That day Mattel amended his offer letter "following recent external developments," a filing says. It does not say what those were. The amendment also fixed his start date and the dates of his stock grants.8-K If a change of control, such as a sale of the company, costs him his job by the end of 2028, the multiple used to set his cash severance is now 2.99, rather than two. If a change of control happens by then, Mattel would also, subject to certain limits, make up any federal excise tax on his payments.8-K
On Oct. 20, Peter Griffith, Amgen's former finance chief, became Mattel's chief financial officer and joined its board. Director Adriana Cisneros resigned on Oct. 18, not because of any disagreement, the company said.8-K

How we got these numbers
- Prices are end-of-day closes as traded, not adjusted for dividends, through Oct. 22, 2026, the last close in KeyVex's data when this story was written. Daily moves are close to close. The S&P 500 and Nasdaq 100 lines follow SPY and QQQ, also as traded, rebased to Mattel's close at the start of the range shown. The Filings switch shows the filing markers from KeyVex's Mattel stock page, a selection of congressional trades, insider trades, Form 144 notices, 8-Ks and lobbying filings: not every filing, and not only those tied to this story.
- EdgePoint's average cost is KeyVex's math: the $829,702,537 aggregate purchase price in its 13D divided by 50,515,811 shares, about $16.42. The stake's values are 50,515,811 shares times the close: $12.66 on Sept. 30 (about $639.5 million) and $16.95 on Oct. 21 (about $856.2 million).
- EdgePoint's share counts come from Mattel's proxy statement (as of Dec. 31, 2025) and EdgePoint's own Schedule 13G/A and 13D filings. Each filing computes its percentage on the share count it cites, so the percentages are not on one basis.
