- In July, LKQ cut its 2026 forecast but kept one: $2.60 to $2.90 a share of adjusted profit, a measure that leaves out charges such as write-downs. It called its German software problems temporary.
- On Oct. 23, LKQ said it now expects third-quarter adjusted profit of 47 to 53 cents a share, against 84 cents a year earlier, and a Europe profit margin of 4.1% to 5.1%, against 10.0%.
- By KeyVex's math, even the bottom of the forecast would now need about 74 to 80 cents in the fourth quarter. That is more than LKQ earned in any of its last four quarters.
- LKQ withdrew the forecast, citing Europe's quarter and the new chief executive's start date. Its chief executive and its head of Europe are out. A review that could end in a sale goes on.
- Next: full results on Oct. 29. Salvatore Abbate starts as chief executive on Dec. 15.
The news: LKQ, which sells recycled and aftermarket parts for repairing cars, said on Oct. 23 that chief executive Justin Jude was leaving that day. It also withdrew its forecast for the year.8-K The filing calls Jude's exit a termination.8-K The filing reached the SEC at 8:06 a.m. Eastern, before the market opened.EDGAR LKQ's stock closed down 22.5% at $17.42, its worst one-day drop since it went public in October 2003.Chart data2003
The turn: Three months earlier, on July 30, LKQ cut the forecast but kept it.8-K Its quarterly report blamed weak sales in Europe mainly on "temporary operational challenges" from a new software system in Germany.10-Q Jude said that day that "the fundamentals of our business are improving."8-K
Why it matters: In January, LKQ's board began a review of its options, including a sale of the whole company.8-K Nine months on, no deal has been announced. Its filing says steps announced Oct. 23, including a new chief executive, leadership changes in Europe and an outside adviser for Europe, were taken "in connection with" that review.8-K The chairman, John Mendel, said LKQ's performance "has fallen significantly short of the Board's expectations."8-K
The stock: The Oct. 23 close was LKQ's lowest since April 3, 2020, and 49.9% below its 2026 high, $34.80 on Feb. 11.Chart data

What the forecast still needed
LKQ's main profit measure is adjusted profit a share, which leaves out charges such as impairments and restructuring. Its first forecast for 2026, in February, was $2.90 to $3.20.8-K The first half brought in $1.33.8-K
With the third quarter at 47 to 53 cents, the nine months come to about $1.80 to $1.86, by KeyVex's math. The bottom of the July forecast would have needed about 74 to 80 cents in the fourth quarter. LKQ last earned that much in the third quarter of 2025, when it made 84 cents.8-K The three quarters after that brought 59 cents, 67 cents and 67 cents. The first two quarters of 2025 brought 74 and 84 cents.8-K8-K8-K

LKQ gave two reasons for withdrawing the forecast: the third quarter in Europe, and Abbate's start date.8-K
What went wrong in Europe
Europe brought in $1.455 billion of LKQ's $3.408 billion of revenue in the second quarter.8-K In the third, LKQ expects revenue of $3.32 billion, down from $3.50 billion a year earlier. Sales of parts and services fell 5.4% overall, before currency moves and deals, and 9.8% in Europe.8-K
Europe's segment profit margin, before interest, taxes, depreciation and amortization, is expected at 4.1% to 5.1%, against 10.0% a year earlier. LKQ blames disruption from the German software rollout and lower volumes in the United Kingdom and Benelux. North America performed in line with its expectations and Specialty came in modestly below them, it says.8-K
The quarter also carries $111 million of impairment charges, mostly on goodwill, which turns it into a net loss of $16 million to $32 million.8-K Andy Hamilton, who ran LKQ Europe, left on Oct. 23, and the board hired the advisory firm Alvarez & Marsal to work on Europe.8-K
What the new chief executive is paid
Abbate, 58, was chief executive of Veritiv, which Clayton, Dubilier & Rice bought for $2.6 billion in 2023, LKQ says. He will be paid a $1.34 million salary, with a target bonus of 150% of it.8-K "There is meaningful opportunity to improve performance, and I intend to move quickly," he said.8-K
He also gets a $3.3 million cash signing award. He must repay it if he quits without good reason, or is fired for cause, before Dec. 15, 2027. And he gets $12 million of restricted stock units, vesting over three years from March 1, 2027. In 2027 he is set to receive performance stock units with a target value of $8 million, and his later yearly long-term incentive awards carry the same $8 million target.8-K
He will also have a change-of-control agreement. It applies if he is let go without cause, or quits for good reason, within two years after a sale or similar change of control, or in some cases 12 months before one. It pays a lump sum of two times the sum of his salary and his target or average bonus, whichever is greater, and fully vests his stock awards.8-K
What Jude gets
Jude, at LKQ since 2004 and chief executive since July 2024, leaves under the company's severance policy for a termination without cause.Proxy8-K The policy pays a chief executive monthly for 18 months, each payment one-twelfth of his salary plus his average annual bonus. His stock awards keep vesting through those 18 months.Proxy The March proxy valued those benefits, for a departure assumed on Dec. 31, 2025, at about $4.4 million, using that day's $30.20 share price.Proxy Hamilton leaves under the same policy.8-K
Where the sale review stands
It began with one business. In December, LKQ said it was exploring a sale of its Specialty segment, which sells parts and accessories for cars, RVs and boats.8-K On Jan. 26, the board opened a separate review of the whole company, including a possible sale, with BofA Securities and the law firm Wachtell, Lipton, Rosen & Katz as advisers.8-K By July, the Specialty sale was being weighed as part of that broader review.8-K Mendel said the aim was to "unlock value that is not reflected in our current valuation."8-K
In July, LKQ said the review "remains active" and that it "continues to engage with multiple parties."8-K On Oct. 23, Mendel said the board has "strong conviction in LKQ's business and its potential to create significant value for shareholders."8-K The filing says only that LKQ will give updates on the review "as appropriate."8-K
In January and again in July, LKQ said the review had "no deadline or definitive timetable."8-K8-K
Also in the filings
Nothing in these filings ties them to the events above. Pzena Investment Management held 15.4 million LKQ shares, 6.1%, on June 30.13G By Sept. 30 it held 22.9 million, 9.0%, its filing on Oct. 19 shows.13G/A Both are on Schedule 13G, the form for passive holders, and neither says why it added or what it held after Sept. 30.
What to watch
The end date LKQ's July release gave for its buyback authorization, with $1.5 billion left as of June 30.
Full third-quarter results and a conference call.
Salvatore Abbate becomes chief executive. Until then an interim Office of the Chief Executive Officer leads: the chairman, John Mendel, and the audit committee chair, Sue Gove.
The end of the window in which Abbate would have to repay his $3.3 million signing award if he quit without good reason.

How we got these numbers
- Prices are end-of-day closes as traded, not adjusted for dividends. Daily moves are close to close: $22.47 on Oct. 22 to $17.42 on Oct. 23 is a 22.5% fall. The worst-day comparison covers every LKQ close in KeyVex's data, from Oct. 3, 2003, and leaves out the three days its two-for-one stock splits took effect (2006, 2007 and 2012), when the as-traded price halved mechanically; the next-worst day was March 18, 2020, down 19.2%. The S&P 500 and Nasdaq 100 lines follow SPY and QQQ, also as traded, rebased to LKQ's close at the start of the range shown. The Filings switch shows the filing markers from KeyVex's LKQ stock page, a selection of congressional trades, insider trades, Form 144 notices, 8-Ks and lobbying filings: not every filing, and not only those tied to this story.
- Adjusted profit a share is LKQ's own measure (adjusted diluted earnings per share, from continuing operations), as its releases report it. The nine-month total and what the fourth quarter would have needed are KeyVex's math: $1.33 for the first six months plus $0.47 to $0.53 is $1.80 to $1.86; $2.60 minus those is $0.74 to $0.80. Quarterly figures are each divided by that quarter's share count, so they add up only approximately.
- The severance estimate is the March 2026 proxy statement's figure for an involuntary termination of Jude assumed on Dec. 31, 2025 ($4,443,058), which values his stock awards at that day's $30.20 close. It is not a figure for his Oct. 23 departure.
- Pzena's holdings are from its Schedule 13G filings, which report positions as of June 30 and Sept. 30, 2026; they say nothing about later trades.
