KeyVex LLC, Terms of Service

PLEASE READ CAREFULLY: THESE TERMS CONTAIN A MANDATORY BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 12) THAT AFFECT YOUR LEGAL RIGHTS. BY CREATING AN ACCOUNT, GENERATING AN API KEY OR AUTHENTICATION TOKEN, OR ACCESSING, QUERYING, OR OTHERWISE UTILIZING THE KEYVEX SERVICE, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH INDIVIDUAL, BINDING ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. AGREEMENT TO THESE TERMS IS A STRICT, NON-NEGOTIABLE PREREQUISITE TO ACCESSING OR USING THE SERVICE, REGARDLESS OF YOUR ACCOUNT TIER. THESE TERMS, OTHER THAN THE WARRANTY DISCLAIMER IN SECTION 9, DO NOT APPLY TO THE FREE PUBLIC DISCLOSURE PAGES AT KEYVEX.COM/DISCLOSURES, INCLUDING READING, LINKING TO, QUOTING, COPYING, CRAWLING, INDEXING, OR DISSEMINATING THEM (SEE SECTION 1).

Welcome to KeyVex, an infrastructure provider of public financial and regulatory data delivered via the Model Context Protocol (MCP) and a REST API, operated by KeyVex LLC ("Company", "we", "us", or "our"). Our website is keyvex.com, our MCP service endpoint is mcp.keyvex.com, and our REST API endpoint is api.keyvex.com.

By creating an account, completing a purchase or subscription via Stripe, generating a KeyVex authentication token or API key, or connecting your Large Language Model (LLM) client to our server (including through Keyless Access, Section 3), you ("User", "Developer", or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

1. Description of Service

KeyVex LLC provides a developer-focused MCP server that normalizes public U.S. Government disclosure data into a suite of agent-native tools. Through MCP-compatible clients (such as Claude, Cursor, or custom developer agents), users may programmatically query, filter, and ingest parsed public-record data across federal financial, corporate, and political-disclosure sources, including SEC filings (insider transactions, institutional and fund holdings, fundamentals, corporate events, registrations, and related disclosures), Congressional trading and annual financial disclosures, campaign finance, lobbying, foreign-agent registrations, federal contracts and grants, regulatory enforcement actions, sanctions and screening lists, economic indicators, and other public sources. The Service may also include equity market price data provided under license from third-party data providers, as described in Section 6. The specific tools and sources available may change over time as the Service evolves. All data is provided for informational infrastructure purposes.

The Service; Service Outputs: "Service" means the KeyVex MCP server (at mcp.keyvex.com, whether accessed with an API key, through a connected account, or through Keyless Access), the KeyVex REST API (at api.keyvex.com), and your KeyVex account, key, and billing pages. "Service Outputs" means the data, responses, and other content the Service returns to you or to an agent or application acting for you.

Public Disclosure Pages: KeyVex publishes certain financial disclosure filings as news, free and without registration, on every page and file served under keyvex.com/disclosures, including its filing, member, ticker, archive, and search pages, its JSON and RSS feeds, its sitemaps, and its robots.txt (the "Public Disclosure Pages"). The Public Disclosure Pages are not subject to these Terms, other than Section 9's warranty disclaimer. No provision of these Terms (including Sections 2, 5, 6, 6A, 7, 8A, 8B, 10, and 12) places any condition or obligation on reading, linking to, quoting, copying, crawling, indexing, or disseminating the Public Disclosure Pages, or on anyone's use of them. Federal law governs the use of the records on those pages for everyone who obtains or uses them; Section 6A states that law as a notice, not as a KeyVex condition. Section 9's warranty disclaimer describes what KeyVex does and does not promise about the Public Disclosure Pages, as it does for all of keyvex.com.

Public Site Pages: "Public Site Pages" means the pages of keyvex.com served without sign-in other than the Public Disclosure Pages, including member, company, and chart pages and the data files behind them. They are offered for reading and are not part of the Service. They are not subject to these Terms, except that (i) any Market Data displayed on them is licensed third-party content that may be viewed but not copied, extracted, or redistributed (Section 6), and (ii) Section 9's disclaimers apply to them. Federal law restricts some uses of the campaign-finance and financial-disclosure records shown on them; Section 6A states that law as a notice.

Reference Data: Alongside government disclosure data and Market Data, the Service includes company reference information that KeyVex assembles and maintains, including company names and identifiers (tickers, CIKs, CUSIPs, LEIs), industry and sector classifications, corporate relationships, descriptive company profiles, and company brand marks and logos, compiled from public sources ("Reference Data"). Reference Data is provided solely to identify and contextualize the companies and securities to which the Service's records pertain.

Third-Party Marks; No Affiliation or Endorsement: Company names, ticker symbols, logos, and other brand marks displayed in or returned by the Service (including within Reference Data) are the trademarks of their respective owners. KeyVex uses them nominatively, solely to identify the companies and securities that the underlying public records concern. Their display does not imply, and KeyVex expressly disclaims, any affiliation with, or sponsorship, approval, or endorsement by, any trademark owner. KeyVex grants you no license to any third-party trademark, and you may not use marks retrieved from the Service other than to identify those same subjects in accordance with applicable law.

2. Account Tiers & Scope of Permitted Use

KeyVex LLC grants you a limited, non-exclusive, non-transferable, revocable right to access and query the Service strictly in accordance with the specific parameters of your registered subscription tier or, for Keyless Access, the limits described in Section 3. Every grant in these Terms, on every tier, is subject to Sections 6, 6A, 8, 8A, 8B, and 8C, which no tier expands:

Free Tier: Granted strictly for Non-Professional, Personal Use, on the same terms as the Basic and Pro Tiers below. The Free Tier does not include Market Data or the datasets its pricing page marks as paid.

Basic Tier ($10/month, or $108/year billed yearly) and Pro Tier ($30/month, or $324/year billed yearly): Each is granted strictly for Non-Professional, Personal Use. You may use the API and its data outputs solely to analyze market data and execute trades for your own individual, personal brokerage account, subject to Sections 6A, 8, and 8A. Commercial use of any kind, including any access or use on behalf of, or for the benefit of, a business entity, or to manage third-party, institutional, or client funds, is strictly prohibited under these tiers (and under the Free Tier) and requires the Business Tier. The Pro Tier was previously offered at $29/month.

Business Tier ($99/month, or $1,068/year billed yearly): Granted for Professional and Commercial Use, subject to Section 6A, which restricts the use of Restricted Government Records on every tier and is not expanded by this grant. If you access or query the API on behalf of, or for the benefit of, any business entity (including an LLC, Corporation, Partnership, or Sole Proprietorship), or to manage third-party, institutional, or client funds, you must be actively subscribed to the Business Tier. The Business Tier was previously named the "Premium Tier" and offered at $79/month, and was offered at $129/month from August 2026 until it was repriced to $99/month in October 2026; references to the Premium Tier in any earlier version of these Terms mean the Business Tier. Custom or institutional arrangements may be subject to additional, separately executed Addenda; in the absence of a separate agreement, these Terms shall govern.

Plan Limits: Each tier's limits, including its daily request allowance, requests per minute, requests at once, monthly data allowance, daily server-time budget, rows per request, daily limits for particular datasets (such as intraday quotes, logos, and member photos), history window, and included datasets, are those stated for it on the KeyVex pricing page and in the Service documentation. A request for more rows than your tier allows returns the most your tier allows and says so, rather than being refused. A request may count as more than one request toward the daily allowance where the pricing page or the documentation says so, for example a very large response or a search across several datasets. When a limit is reached, further requests are refused until that limit resets, and whichever limit is reached first applies. Reaching a limit is not a failure of the Service and does not entitle you to a refund.

3. Access, Billing, and Subscriptions

Keyless Access: KeyVex may offer limited access to the MCP server without an account or API key ("Keyless Access"). Keyless Access is part of the Service and is governed by these Terms, which are linked from Keyless Access tool results and from the server's connection instructions. Keyless Access is limited to a reduced set of tools, a daily allowance, and a limited history window; if a limit is not applied during a service fault, that does not enlarge your rights. Keyless Access does not include Market Data. Section 6A applies to Restricted Government Records obtained through Keyless Access by force of federal law whether or not you have accepted these Terms, and Keyless Access responses that carry those records include a notice to that effect. KeyVex may change, limit, or withdraw Keyless Access at any time.

Payment Processing: All subscription billing, tier upgrades, and payment processing are handled by Stripe. By subscribing, you authorize KeyVex LLC (via Stripe) to charge your designated payment method on a recurring basis according to your selected plan.

Token Provisioning: A KeyVex API key is issued to your account on request, on every tier, once you have accepted these Terms and verified your email address. Each email address may hold one free account: addresses that reach the same inbox (for example a Gmail address written with dots or a "+" tag) count as one address, and the address of a deleted account cannot be used for another free account for 30 days. Paid-tier access begins when your subscription starts (for a plan with a free trial, when the trial starts) and continues while Stripe retries a payment that failed; if the payment cannot be collected, the subscription ends and your account returns to the Free Tier.

Cancellations and Refunds: You may cancel your subscription at any time through your account settings to prevent future renewals; cancellation takes effect at the end of your current billing period. Due to the immediate resource costs of data provisioning and server overhead, all fees paid are non-refundable unless otherwise required by law.

Billing Periods: Each paid tier may be billed monthly or yearly. A yearly plan costs less than twelve months at the monthly price. It is charged for the whole year at the start of each year (after any free trial) and renews each year until you cancel, and, like a monthly plan, it is not refunded in part if you cancel or move to a lower plan during the year.

Plan Changes: You may change your plan, or how it is billed, through your account settings. A move to a higher plan on the same billing period (from Basic to Pro, or from either to Business) is charged at once for the prorated difference for the rest of your current billing period. A move from monthly to yearly billing, on the same plan or a higher one, is charged at once for the new plan's yearly price, less a credit for the unused part of your current month, and your new yearly period starts that day. In either case the new plan starts when that payment succeeds; a yearly plan moves to a higher plan as a yearly plan. A move to a lower plan, or from yearly to monthly billing (even together with a move to a higher plan), takes effect at your next renewal; you keep your current plan until then, and no partial refund is given.

Free Trial: Where a plan is offered with a free trial, the trial is available once per account and once per email address (counted as in Token Provisioning above). If you cancel before the trial ends, you are not charged. Moving to the Business Tier during a trial ends the trial, and the Business Tier is charged at once.

4. API Key & Token Security; Client Responsibility

Credential Protection: Your KeyVex authentication token or API key is confidential and acts as the gatekeeper to our infrastructure. You are entirely responsible for securing this credential within your local environment and configuration files (e.g., your MCP client configuration).

Compromised Credentials: If we detect that your token or key has been exposed in a public repository (such as GitHub), public logs, or front-end application bundles, KeyVex LLC reserves the right to immediately revoke and rotate the credential to protect server integrity.

Downstream Logging and Observability Security: You acknowledge that using the Service via an LLM client may involve piping tool payloads into third-party AI observability, logging, or tracing platforms (e.g., LangSmith, Helicone, Phoenix, Arize). You agree to keep all such dashboards, logs, and data repositories private and secure. You are responsible for any wholesale leakage of KeyVex data payloads resulting from insecure or publicly accessible third-party developer tools or logging infrastructure.

5. License, Acceptable Use & Data Protections

While the underlying raw data originates from public federal sources and is not itself owned by KeyVex LLC, the parsing logic, normalization pipelines, database architecture, tool manifest definitions, input schemas, prompt templates, and LLM-optimized context payloads are the proprietary intellectual property of KeyVex LLC. KeyVex-authored content included in the Service, including summaries, descriptions, classifications, annotations, and other editorial material created by KeyVex, is likewise the proprietary intellectual property of KeyVex LLC.

Scope: This Section 5 and Section 7 govern the Service and Service Outputs only. They do not apply to the Public Disclosure Pages or the Public Site Pages, and they do not restrict your use of public records you obtain independently from government sources.

Permitted Use: Your subscription licenses you to query the Service, directly or through an AI agent acting on your behalf, to retrieve, analyze, and incorporate data into your own research, applications, workflows, and end-user-facing products, subject to Sections 6, 6A, 8, 8A, 8B, and 8C. It is expected and permitted that an autonomous agent will run queries on behalf of its user; that is the intended mode of using an MCP server.

Except as expressly authorized in writing by KeyVex LLC, you agree NOT to, directly or indirectly:

6. Third-Party Market Data (Tiingo / IEX)

In addition to public government disclosure data, the Service may include end-of-day and intraday equity market price data ("Market Data") provided under license from Tiingo, Inc. ("Tiingo"), including data originating from the Investors Exchange (IEX) and other upstream exchanges. Market Data is licensed third-party content, not public-record government data, and this Section applies to Market Data in addition to, and where stricter than, the other provisions of these Terms. Within the Service, Market Data is available only on paid tiers that include it; it is not provided on the Free Tier or through Keyless Access.

KeyVex LLC's Market Data providers are intended third-party beneficiaries of this Section 6 and may enforce its protections directly. Market Data availability depends on upstream providers, and specific Market Data sources may be modified or discontinued if upstream sources impose restrictions or cease to be available to KeyVex LLC.

6A. Government Disclosure Data, Use Restrictions

Federal law restricts how certain public records may be obtained and used. Those restrictions bind every person, whether or not that person has an account, uses Keyless Access, or has accepted these Terms. This Section states them and, for your use of the Service, also makes them terms of your agreement with KeyVex LLC: they apply on every tier and to Keyless Access, in addition to and where stricter than the other provisions of these Terms, and no subscription tier or other grant in these Terms authorizes a use this Section prohibits. "Restricted Government Records" means the Campaign Finance Records and the Ethics Act Reports described below, and information obtained from them through the Service.

Campaign Finance Records. Under 52 U.S.C. § 30111(a)(4) and 11 C.F.R. § 104.15, information copied, or otherwise obtained, from any report or statement filed under the Federal Election Campaign Act, or from any copy, reproduction, or publication of one (including through the Service), may not be sold or used by any person for the purpose of soliciting contributions or for any commercial purpose, except that the name and address of any political committee may be used to solicit contributions from that committee. Soliciting contributions includes soliciting any type of contribution or donation, such as political or charitable contributions. Use of that information in newspapers, magazines, books, or other similar communications is permissible as long as the principal purpose of the communication is not to communicate contributor information from those reports for the purpose of soliciting contributions or for other commercial purposes.

How KeyVex applies that rule. KeyVex reads it as follows, and the Service is built to it. Records, totals, and rankings of political committees and other entities that are not natural persons (for example, a committee's own filings, or totals by state, ZIP code, employer, or committee), and statistics that do not identify any natural person, stay within the rule, and KeyVex provides them on its paid tiers. Information that identifies an individual contributor, or any other natural person listed in those reports as a source or recipient of funds, may not be used for any commercial purpose on any tier, and you may not use the Service to compile lists of individuals, with or without their contribution data, for solicitation or commercial purposes. The Business Tier's grant of commercial use does not extend to Campaign Finance Records.

Ethics Act Reports. Financial disclosure reports filed under the Ethics in Government Act of 1978 (5 U.S.C. chapter 131, subchapter I), including the annual financial disclosure reports and periodic transaction reports of Members, officers, and employees of Congress and of candidates, and OGE Forms 278e and 278-T, are subject to 5 U.S.C. § 13107(c) (prohibited uses of reports; formerly section 105 of the Ethics in Government Act of 1978). It is unlawful for any person to obtain or use such a report, and under these Terms you may not obtain or use such a report or information obtained from one through the Service:

The Attorney General may bring a civil action against any person who obtains or uses a report for any purpose prohibited by that section, and a court may assess a civil penalty of up to the maximum set by that section, as adjusted for inflation under federal law.

Your Responsibility. You are solely responsible for ensuring that your use of Restricted Government Records, and any use made by an agent, application, or end user acting through your account or your connection, complies with this Section and with applicable law. KeyVex LLC may suspend or terminate access for any use it reasonably believes violates this Section.

Public Disclosure Pages. KeyVex publishes congressional periodic transaction reports, congressional annual financial disclosure reports, and OGE Form 278-T reports free and without registration on the Public Disclosure Pages, as news and communications media for dissemination to the general public, the use excepted by 5 U.S.C. § 13107(c)(1)(B). The congressional periodic transaction reports and annual financial disclosure reports that the Service returns are the same reports published there, and KeyVex carries them in the Service because they are published there free to the general public; the Service is a structured way to query that same publication. The Public Disclosure Pages are not subject to any condition in these Terms. The federal law stated in this Section applies to everyone who obtains or uses the records on those pages; this is a notice of that law, not a condition imposed by KeyVex.

7. Rate Limits, Anti-Circumvention, and System Integrity

Technical Restraints: KeyVex LLC enforces automated query-only limits, rate limits, and bulk extraction blocks to maintain system stability.

No Bulk Extraction or Scraping: You are contractually prohibited from systematically extracting, "data dumping," or harvesting the dataset in bulk from the Service. This prohibition does not apply to the Public Disclosure Pages.

Anti-Circumvention: Any attempt to bypass, disable, circumvent, or defeat the Service's technical rate limits, endpoint protections, or authentication systems (including but not limited to using multiple accounts, IP rotation strategies, or distributed botnets to obscure volume) constitutes a material breach of these Terms and will result in immediate, permanent account termination and potential legal action.

8. No Investment Advice & Assumption of Risk

KEYVEX LLC IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, ACCOUNTANT, OR FINANCIAL ADVISOR.

Contextual Data: All Service Outputs consist of public filings and disclosures and data that KeyVex has parsed and normalized from them, together with Reference Data, KeyVex-authored content and, where your tier includes it, Market Data (Section 6), optimized for LLM context windows. They are provided for informational and educational research purposes only, and do not constitute investment, legal, tax, compliance, or financial advice.

Sanctions, Screening, and Exclusion Lists: The Service carries public government lists, including the OFAC Specially Designated Nationals list, the Consolidated Screening List, and the HHS-OIG List of Excluded Individuals/Entities. KeyVex republishes these lists; it does not provide a sanctions, export-control, KYC, AML, or exclusion screening service. KeyVex's name search is a literal, case-insensitive text filter over the names in the published list entries (for the Consolidated Screening List, also its alternate names; OFAC SDN name searches match the primary listed name only, and aliases appear only in the entry's remarks text). KeyVex does not perform fuzzy or identity matching, does not score matches, does not determine whether any person or entity is or is not a listed party, and does not warrant that any list is complete or current. A name in the Service that resembles a listed name may not be the listed party, and the absence of a name does not mean a party is not listed. You may consult these lists for your own information, but you may not use Service Outputs as a factor in any decision about an individual that Section 8A covers; for any screening or compliance decision, use the official list published by the issuing agency.

Assumption of Trading Risk: You acknowledge that equity trading and financial market speculation involve extreme financial risk. You assume full, exclusive responsibility for any trading decisions, automated logic, algorithm execution, and financial losses incurred while using this Service.

Model Synthesis and Hallucinations: Because this data is designed to be read, parsed, and interpreted by artificial intelligence, KeyVex LLC is not responsible for how your LLM client synthesizes, summarizes, or potentially mischaracterizes or hallucinates financial context based on our tool outputs. You assume full responsibility for any decisions or trades made based on this data.

8A. No Consumer Reports; Eligibility Decisions

KeyVex LLC is not a consumer reporting agency, and Service Outputs are not consumer reports, as those terms are defined in the Fair Credit Reporting Act (15 U.S.C. § 1681a). KeyVex does not assemble or evaluate information on individuals for the purpose of furnishing consumer reports. You may not use the Service or Service Outputs, in whole or in part, as a factor in establishing any individual's eligibility for credit, insurance, employment, housing or tenancy, or a government license or benefit, or for any purpose listed in 15 U.S.C. § 1681b, and you may not use them to furnish consumer reports to others.

8B. Individuals Named in the Records

The records in the Service name real people, including Members of Congress, federal officials, candidates, corporate insiders, lobbyists, contributors, and sanctioned or listed persons. You may not use the Service or Service Outputs to harass, stalk, threaten, or intimidate any individual; to publish, compile, or disclose any individual's home address, personal telephone number, personal email address, or other personal contact information obtained from or located through the Service; or to solicit money, business, or contributions from individuals named in the records. Section 6A's restrictions apply in addition.

8C. AI Agents and Model Restatements

You are responsible for every query made, and every use of Service Outputs, by an AI agent, application, or automated system acting on your behalf or through your account, key, or connection, as if you had made or used them yourself. When a language model restates, summarizes, or combines Service Outputs, the restatement is the model's output, not KeyVex's; it is not an official record and may be wrong. You may not present a model's restatement as KeyVex data or as the content of a government record without verifying it against the Service Output and the source record. Sections 6, 6A, 8A, and 8B apply to any use your agent or application makes of Service Outputs, including passing them to other people.

9. Disclaimers & Limitation of Liability

"As-Is" Service: We collect, parse, and normalize data from government portals and sources that are themselves subject to outages, format changes, reporting lags, and revisions. We do not guarantee that government sources will be online, accurate, complete, or current, and we surface coverage limitations where known. The Service, the Public Disclosure Pages, the Public Site Pages, and all other content of keyvex.com are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. KeyVex LLC does not warrant that API access will be uninterrupted, error-free, completely timely, or free from data inaccuracies, whether caused by upstream public sources or by KeyVex's own parsing and normalization.

Parsed Government Records: Many records in the Service and on the Public Disclosure Pages are parsed by KeyVex from government documents, and parsing can be wrong. Values may be missing, misplaced, split across rows, or assigned to the wrong field. Where KeyVex knows a record's parsing is unreliable, it flags the record (for example, House financial disclosure rows marked parse_unreliable), but the absence of a flag does not mean a record is correct. Where a record links its source document, that document is authoritative; otherwise the issuing agency's official publication is. Verify against it before relying on any record. Campaign finance reports may lawfully contain fictitious names ("pseudonyms") that political committees insert to detect misuse of contributor information (11 C.F.R. § 104.3(e)).

Reference Data & KeyVex-Authored Content: Reference Data and KeyVex-authored content (Section 1 and Section 5) are compiled, matched, and written by KeyVex from public sources, and their accuracy depends on KeyVex's own assembly, not solely on upstream sources. Reference Data may be incomplete, outdated, or superseded (for example, officer or company details that changed after the most recent public filing), and associations drawn between records from different sources may be imperfect. KeyVex-authored summaries, descriptions, and classifications are condensations provided for convenience; they are not official statements, do not carry the authority of the underlying records, and may omit context. All such material is provided under the same "AS IS" disclaimer above, verify against the linked source records before relying on any of it.

Cap on Damages: To the maximum extent permitted by law, KeyVex LLC, its members, founders, and partners shall not be liable for any direct, indirect, incidental, or consequential damages (including lost trading profits, algorithm execution errors, third-party LLM API usage overages, server downtime, computational costs, or data loss). In no event shall KeyVex LLC's total liability for any claim exceed the total fees paid by you to KeyVex LLC during the twelve (12) months preceding the event giving rise to liability, or a maximum cap of $50 USD for users on the Free Tier or using Keyless Access.

10. Indemnification

You agree to defend, indemnify, and hold harmless KeyVex LLC, its members, founders, employees, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees, fines, and penalties) arising from: (i) your misuse of or connection to the Service; (ii) your violation of any term of these Terms; (iii) any third-party claims or financial losses arising from applications, autonomous agents, alerts, or trading systems you build using data provided by the Service; or (iv) your violation of any applicable law in connection with the Service or Service Outputs, including the laws stated in Sections 6A and 8A, whether committed by you or by an agent, application, or end user acting through your account or connection. You also agree to defend, indemnify, and hold harmless KeyVex LLC's Market Data providers against claims arising from your breach of Section 6.

11. Changes to These Terms

KeyVex LLC may update these Terms from time to time. Material changes will be communicated through the account dashboard or by email to the address associated with your account. When a change requires your agreement, KeyVex will ask you to accept the revised Terms when you next sign in, and API keys and connected clients on your account will be refused until you do. For Keyless Access, the Terms in effect at the time of each request apply.

12. Governing Law, Mandatory Arbitration, and Class Action Waiver

Arbitration as a Condition of Access: As a strict condition of creating an account, generating an API key, or querying the Service, you explicitly agree that any and all disputes between you and KeyVex LLC must be resolved through binding arbitration.

Governing Law: These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law principles.

Binding Arbitration: You and KeyVex LLC agree that any dispute, claim, or controversy arising out of or relating to this Service, these Terms, or the breach, termination, enforcement, interpretation, or validity thereof, shall be settled exclusively by binding, individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Columbia, South Carolina, and the proceedings shall be conducted in English. The arbitrator's decision shall be final and binding. You agree to waive the right to a trial by jury.

Class Action Waiver: YOU AND KEYVEX LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

13. Severability & Entire Agreement

Severability: If any provision of these Terms, or any portion of the arbitration agreement herein, is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific provision or portion shall be severed or limited to the minimum extent necessary, and the remaining portions of these Terms and the arbitration agreement shall continue in full force and effect.

Entire Agreement: These Terms constitute the entire understanding and agreement between you and KeyVex LLC regarding the Service, and supersede all prior or contemporaneous written or oral agreements regarding the Service, including any prior "Hosted API & Services Agreement" and any prior version of these Terms of Service.
