
SpaceX agreed to buy airwaves T-Mobile sold. T-Mobile's filings say it may get a share.

- T-Mobile's sale of these airwaves to Grain came with more than a fixed price. Its filings say it may also get a share of certain proceeds Grain makes later, after Grain earns a certain return.
- Now Grain has agreed to sell them to SpaceX. That purchase could bring T-Mobile such a payment. Whether it does depends on SpaceX's price, Grain's return threshold and other terms, and none is public.
- Shares of T-Mobile, Verizon and AT&T fell about 6% after hours, Reuters reported. A Verizon spokesman said that if SpaceX lacks "the network to use it, it doesn't matter."
- A court judgment tied to T-Mobile's Sprint merger made it offer these licenses for sale. DISH agreed in 2020 to pay about $3.6 billion, then never bought them.
- The SpaceX sale still needs FCC approval. Under the FCC's July order, Grain's satellite-partner process was to finish by Nov. 5 if the order's satellite buildout terms are to apply.

Why it matters: The company whose airwaves these were may be paid again. T-Mobile's annual and quarterly reports say it may receive a share of what Grain makes from the licenses, after Grain earns a certain return on its investment.10-Q10-K Neither filing says how big that share is, where that threshold sits, or what the other terms and conditions are. What T-Mobile's filings say about the sale
T-Mobile signed the deal on May 30, 2025, with two affiliates of Grain. It agreed to sell its 800 MHz licenses for $2.9 billion in cash plus Grain's 600 MHz licenses, which T-Mobile was already using under leases. Then comes the sentence that matters now.10-Q
In addition, we may receive a share of certain future proceeds from transactions entered into by Grain that monetize the 800 MHz spectrum licenses, subject to certain terms and conditions and following a certain return on invested capital for Grain.
On June 30, T-Mobile's books carried the licenses at $3.6 billion, held for sale: listed as assets it expected to sell, at their cost. The FCC approved the sale on July 1, and T-Mobile then targeted a closing in the third quarter. Airwaves that sat underused
The Justice Department required T-Mobile to divest these licenses as a condition of approving its merger with Sprint, the FCC's July order says. The order calls them "underutilized in recent years."FCC
DISH Network agreed on July 1, 2020, to buy them for about $3.6 billion. In 2023 it paid T-Mobile a $100 million fee to extend its deadline to April 1, 2024, and then it did not buy them. On Oct. 1, 2024, T-Mobile ended a court-required auction of the licenses without a qualifying bid and was relieved of the obligation to sell, its 10-K says. It agreed to sell to Grain the next May.10-KFCC
The licenses Grain bought cover 3,224 counties and about 100% of the U.S. population, according to the FCC. Verizon spokesman Rich Young said there were still hurdles after the purchase, Reuters reported. He said that "if they do not have the network to use it, it doesn't matter. It's just empty airwaves."Reuters
The carriers have a satellite plan of their own. On May 14, T-Mobile said it had agreed in principle with AT&T and Verizon to form a satellite joint venture. It would pool spectrum to help satellite providers reach more customers. T-Mobile's 10-Q says it still needs definitive agreements.10-Q

- The price chart of the 800 MHz licenses compares an agreed price (DISH), an agreed cash payment that came with other licenses (Grain), and an accounting value (T-Mobile's carrying amount at cost). They measure different things and are shown side by side only because the filings state them.
