This agreement is between KeyVex LLC ("KeyVex", "we") and you, the creator who joins the KeyVex Affiliate Program ("you"). It works alongside the KeyVex Terms of Service, which still apply to your KeyVex account. You accept it by ticking "I agree" on your Affiliate page when you apply, accept an invite, or make codes.
1. Joining
- You can join only if we approve you, by invitation or by application. We may decline any application.
- You must be at least 18 and live in the United States.
- One affiliate account per person. Your affiliate account is your normal KeyVex account with affiliate access added.
- Before we can pay you, you must finish payout setup and give your tax information (Sections 5 and 6).
2. Your codes and links
- You choose your own codes, up to 3 active at a time. Each one gets its own link, keyvex.com/r/yourcode.
- A code must be letters and numbers only, between 4 and 20 characters, and not already taken. Capitals don't matter. We won't accept codes that are offensive, look official (like KEYVEX or SUPPORT), use another brand or person's name, or read like a coupon-site deal (like SAVE20).
- Codes are permanent. You can't rename or delete a code, because your past videos and posts still show it. If you want a different one, create another within your limit of 3.
- Only we can switch a code off (Section 9).
3. What your audience gets
- 20% off Basic, Pro, or Business: on monthly plans, the first 3 months; on yearly plans, the first year (on top of the usual yearly discount).
- Only for new paying customers: people who have never paid for KeyVex before.
- Not available on Enterprise plans.
- The code must be entered at checkout. Your link fills it in automatically.
- We may change the discount for future sign-ups with 30 days' email notice. Customers who already used your code keep the discount they signed up with.
4. What you earn
- Monthly plans: 40% of everything a customer you referred pays us in their first 3 months. The 3 months start at their first real payment, so a free trial doesn't use any of them up. This includes the extra charge when they upgrade partway through a month.
- Yearly plans: 10% of their first-year payment.
- You earn only on money we actually receive, not counting any sales tax.
- A sale belongs to the code applied at checkout. If no code was applied, there is no commission, even if the customer watched your video.
- No commission on: Enterprise plans, free accounts, trials that never turn into a payment, or your own accounts, family members' accounts, or any account you control.
- We may change commission rates for future sign-ups with 30 days' email notice. Customers already referred keep earning at the rates in place when they signed up.
5. When and how you get paid
- Each commission is held for 30 days after we receive the payment, so refunds and payment disputes can settle.
- After the hold, we pay you once a month, whatever you've earned. There is no minimum.
- If a payment you were already paid for is later refunded or reversed, we subtract that commission from your next payment. If you have no future earnings, we absorb the loss and won't ask you to pay it back. The exception is fraud: if the sale was fraudulent, we will recover the commission from you.
- We pay you through Stripe, to your bank account. You set this up from your Affiliate page ("Set up payouts"). Stripe collects your bank and identity details; KeyVex never sees your bank account or Social Security number.
6. Taxes
- You are an independent contractor, and you're responsible for your own taxes.
- Your tax details (a W-9) are collected during payout setup, before your first payout, and tax forms (such as a 1099) are sent as the law requires.
7. Earnings you haven't collected
If you earn commission but haven't finished payout setup, we keep it in your account and remind you to set up payouts. If it stays unclaimed long enough, we handle it as the law requires, which may mean sending it to your state's unclaimed-property office.
8. How you promote KeyVex
You may show KeyVex, its website, and its data in your content, including content that earns you money. That permission is in Section 2 of our Terms of Service ("Promotional Use"). In return:
- Always disclose. Every piece of content that shares your code or link must say clearly that you earn money from it, for example "I get a commission if you use my code" or #ad. Say it in the video or post itself, not only in the description. This is a legal requirement (the FTC's endorsement rules).
- No investment advice. KeyVex publishes public records. Don't present it as stock tips, don't promise or imply returns, and don't make "copy Congress's trades and get rich" claims.
- Be accurate. State KeyVex's prices, features, and the discount correctly. Don't claim to work for KeyVex or speak for it.
- Don't post your code where you didn't create the content. No spam, and no paid search ads on the word "KeyVex" or misspellings of it. Advertising your own content, or bidding on general terms like "congress stock trades", is fine.
- Keep your code off coupon sites. Don't post or submit your code to coupon, deal, or code-sharing sites, apps, or browser extensions (for example RetailMeNot or Honey).
- No self-referral or fake accounts. Don't use your own code, and don't create or pay for sign-ups.
- You may use the KeyVex name and logo only to identify KeyVex, without changing them.
- If we ask you to fix or remove content that breaks these rules, you agree to do so promptly.
9. Switching off a code and ending the agreement
- Either of us can end this agreement at any time, by email.
- We may switch off a code if it breaks Section 2's rules, or if it's used for fraud or to break this agreement.
- We may switch off a code if we find it on a coupon, deal, or code-sharing site, app, or browser extension, even if you didn't put it there. Customers you already referred keep earning for you, and the switched-off code no longer counts toward your limit of 3, so you can create a new one.
- If you leave, or we end the agreement, on good terms: customers you already referred keep earning for you until their 3 months (or first year) are over, and we pay what you're owed on the normal schedule.
- If we end it because you broke this agreement or committed fraud: any commission not yet paid is cancelled.
- Either way, customers who used your code keep their discount.
10. What you can see
Your Affiliate page shows each sale's date, plan, amount, and status (held, ready, paid, or reversed), plus your totals. It never shows customers' names, emails, or account details. We keep records of your earnings and payouts even if you delete your KeyVex account, because tax law requires it.
11. General
- You're an independent contractor, not an employee, partner, or agent of KeyVex, and you can't make commitments on KeyVex's behalf.
- We may update this agreement. We'll email you about changes at least 30 days before they take effect, and they won't reduce commission on customers you've already referred. When a new version takes effect, we'll ask you to agree to it on your Affiliate page before you make new codes; codes you already have keep working.
- Disputes are handled as set out in Section 12 of the Terms of Service (arbitration, South Carolina law).
