- Conifer lifted its Group 1 stake from 6.4% at March 31 to about 16% after Sept. 30, by KeyVex's math. Its contract with Group 1 now stops it at 19%.
- Group 1's stock closed at $240.44 on Sept. 30, less than half its September 2025 high. Conifer has paid about $496 million for its whole stake, by KeyVex's math from its filings.
- The 19% cap leaves room for about 353,000 more shares, on the share count Conifer's filings use. The same contract notes that Group 1's carmaker agreements have change-of-control terms tied to ownership of its stock.
- If Group 1's own buybacks lifted Conifer past 19%, it would have to sell the excess within 180 days of the company's notice, unless carmakers' waivers allowed more.

Why it matters: Conifer can't simply keep buying. Its contract caps it at 19%. How the stake grew
Until August, Conifer filed on Schedule 13G, the short form for holders of more than 5% who aren't seeking to influence a company. It held 967,000 shares, or 8.1%, at June 30.13G/A
Group 1 reported its second quarter on July 30, before the market opened. Adjusted earnings per share from continuing operations, the company's own measure, fell to $9.61 from $11.52 a year earlier. On Aug. 20, Conifer switched to a Schedule 13D, the longer form for holders who may seek to influence a company. It reported 9.7%. It said it had held "amicable discussions" with Group 1, including about possibly putting Hart on the board, and called Group 1 "an attractive investment opportunity."13D
In early September Conifer filed as an owner of more than 10% of the stock. What the agreement allows
Conifer agreed to vote with Group 1's board on most matters.Agreement The cap has a built-in give. If Group 1 buys back its own shares and that lifts Conifer over 19%, Conifer is not in breach. But it may not buy more, and it must sell the excess within 180 days of the company's notice.Agreement
Conifer acknowledges that certain framework agreements between the Company and its subsidiaries and vehicle manufacturers and distributors as in effect from time to time (the “Framework Agreements”) contain change of control provisions related to the ownership of Common Stock or Voting Securities.
Under the same section, Conifer may ask privately, once a year, for Group 1 to seek waivers under those agreements. They would let Conifer stay above 19% when the excess comes from the company's own buybacks or similar steps. Group 1 must use "commercially reasonable efforts" to get them.Agreement
The agreement runs to 30 days before the nomination deadline for Group 1's 2030 annual meeting, and longer if Hart is renominated. If Conifer's stake falls below 5%, Hart must tender his resignation.13D/A
The Atlanta deal
The dealerships belong to Hennessy Automobile Companies, and their brands include Lexus, Jaguar Land Rover and Porsche. On the July 30 call, an Evercore ISI analyst said that even with significant savings counted, the deal "still feels like an expensive deal relative to just buying back your stock," according to a transcript.Transcript Finance chief Daniel McHenry called Hennessy "a generational asset" for Group 1. How we got these numbers
- Prices are end-of-day closes as traded, not adjusted for dividends. Daily moves are close to close. The S&P 500 and Nasdaq 100 lines follow SPY and QQQ, rebased to Group 1's close at the start of the range shown. The Filings switch shows the filing markers from KeyVex's Group 1 page, a selection of filings: not every filing, and not only those tied to this story.
- What Conifer paid: the totals its Schedule 13D and amendments report (about $298.9 million, $58.4 million, $40.5 million and $80.5 million; the amendments say their totals exclude commissions, and the original 13D does not say), plus its Sept. 30 purchases from its Form 4 (71,592 shares, $17.3 million at the weighted-average prices reported). Together, $495.6 million for 1,912,290 shares, an average of about $259.
- Percentages use the 11,922,225 shares outstanding as of July 24, 2026, from Group 1's July 30 10-Q, the count Conifer's 13D filings use. On that count the most Conifer could own without passing 19% is 2,265,222 shares, about 352,900 more than it held after Sept. 30. The agreement measures ownership on a fully diluted basis, using the treasury stock method, so the room left may be somewhat larger; Group 1's share count can also change.
