What the $30.25 is made of
RXO holders can ask for all cash, $30.25 a share, or all stock, 0.1992 of a C.H. Robinson share. Those choices are prorated, so in total the deal pays out the same cash and stock as if every share took the standard $17.25 and 0.0856.8-K That works out to about 57% cash and 43% stock. The 2024 placement
RXO agreed in June 2024 to buy Coyote Logistics from UPS for $1.025 billion in cash. It said the deal would be funded partly by a $300 million equity investment from MFN Partners and $250 million from Orbis Investments, "two of RXO's largest shareholders."Release In August, it sold about 21 million new shares to MFN Partners and to accounts managed by Orbis at $20.21 each, in a private sale. It also sold them pre-funded warrants for about 6.3 million more shares: $20.20 up front, then a penny a share to exercise.8-K

What C.H. Robinson takes on
C.H. Robinson has a commitment for a bridge loan, a short-term loan, of up to $4.5 billion from Morgan Stanley, which is also its financial adviser on the deal. It plans to draw on the bridge only to the extent needed.8-K It intends to pause share buybacks until it reaches its target debt ratio after the deal closes. It expects $300 million a year of cost savings within two years, and to keep its investment-grade credit ratings.Release
On Oct. 5, Investing.com reported that S&P Global Ratings had revised its outlook on C.H. Robinson to negative from stable, while keeping its BBB+ rating. Who can still change the outcome
